4. Engagement and Scope
Each engagement is defined by the service selected and confirmed in writing. Any variation to the agreed scope should be discussed and agreed in writing before additional work is undertaken. We will endeavour to flag any development that may affect scope or cost as early as possible.
Our advice is specific to your matter as presented to us and is provided for your use only. It should not be relied upon by third parties or applied to materially different circumstances without seeking fresh advice.
5. Client Responsibilities
To allow us to assist you effectively, we ask that you:
- — Provide accurate, complete, and timely information relevant to your matter;
- — Let us know promptly if circumstances change in a way that may affect the work;
- — Respond to requests for information or documents within a reasonable time;
- — Keep correspondence and all information shared with us confidential where requested;
- — Use the Content we produce solely for the lawful purpose for which it was prepared;
- — Refrain from requesting that we assist with anything unlawful or contrary to professional obligations.
We are not responsible for consequences arising from inaccurate or incomplete information provided to us.
6. Intellectual Property
All Content produced by Arun Justice in connection with your matter is provided for your use in that specific matter. You may share it with relevant parties as needed for that purpose. You may not reproduce, publish, or commercially use our work product without prior written consent.
The design, text, and materials on this Website are the property of Arun Justice. Nothing on this Website should be read as conferring any licence to use our intellectual property.
7. Fees and Payment
Fees for each service are as stated on this Website and confirmed at the time of engagement. All fees are quoted in Thai Baht (฿) and are inclusive of applicable taxes unless otherwise stated.
Payment terms are confirmed in the engagement letter. For consultations, payment is typically made prior to or at the time of the session. For drafting and representation services, a payment schedule is agreed in advance.
Where work is discontinued at your request after it has commenced, fees for work completed to that point remain payable. Refunds, where applicable, are considered on a case-by-case basis and we aim to treat each situation fairly.
Accepted payment methods will be confirmed during the engagement process.
8. Confidentiality
We treat all information you share with us as confidential and will not disclose it to third parties except where necessary to carry out your instructions, where required by law, or with your consent.
We ask that you similarly treat any advice, analysis, or documents we provide as confidential unless we agree otherwise in writing.
9. Disclaimers
Advice and information provided by Arun Justice reflects our professional assessment based on the facts and circumstances presented to us at the time. Legal and administrative processes involve uncertainties, and we are not in a position to confirm outcomes in advance. We share honest, considered views — not predictions.
The content on this Website is provided for general information only and does not constitute legal advice. Please do not act on Website content alone without seeking advice specific to your situation.
Our Services are provided with reasonable care and professional skill. Beyond this, and to the extent permitted by applicable law, we make no warranties, expressed or implied.
10. Limitation of Liability
To the extent permitted by Thai law, our aggregate liability to you in connection with any engagement shall not exceed the total fees paid by you for that engagement.
We are not liable for any indirect, consequential, or incidental loss arising from the use of our Services or reliance on our advice, including loss of expected income, delay in administrative processes, or decisions made by third-party bodies.
Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under Thai law.
11. Indemnification
You agree to indemnify and hold Arun Justice harmless from any claims, losses, or costs arising from your breach of these Terms, the provision of inaccurate information, or your use of our Content in a way not contemplated by the engagement.
12. Termination
Either party may bring an engagement to a close by providing reasonable written notice. We will confirm what work has been completed and what fees are owing at that point.
We may end an engagement with immediate effect if instructed to act in a manner contrary to professional obligations or applicable law, if fees remain unpaid beyond agreed terms, or in other circumstances that make continuation impractical.
Sections relating to confidentiality, intellectual property, limitation of liability, and dispute resolution survive the end of any engagement.
13. Dispute Resolution
These Terms are governed by the laws of Thailand. If a concern arises about our Services, we ask that you first raise it with us directly so that we can try to address it promptly and constructively.
If a matter cannot be resolved through discussion, either party may refer it to mediation before pursuing formal proceedings. Any formal legal proceedings shall be subject to the jurisdiction of the courts of Thailand.
Nothing in this section prevents either party from seeking urgent interim relief where necessary.
14. General Provisions
- Entire Agreement: These Terms, together with any engagement letter or service agreement, form the complete agreement between the parties and supersede any earlier discussions or representations relating to the same subject matter.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect.
- Waiver: Our decision not to enforce a particular provision on one occasion does not waive our right to enforce it on another.
- Assignment: You may not transfer your rights or obligations under these Terms to a third party without our prior written consent. We may, with reasonable notice, transfer these Terms in connection with a business reorganisation or succession.
- Notices: Formal notices should be sent in writing by email with read-receipt or by post to the addresses set out in Section 16.
15. Changes to These Terms
We may revise these Terms from time to time to reflect changes in the law, our services, or good practice. The revised version will be published on this Website with an updated "Last Updated" date.
If changes affect an ongoing engagement, we will bring them to your attention directly. Continuing to use our Services after a change has been published indicates that you are comfortable proceeding on the revised basis.
